These Terms & Conditions, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Refund & Cancellation Policy — each incorporated by reference (collectively, the "Terms") — govern your access to and use of www.smartreviewai.io and any website, platform, Customer/Partner portal, buyer platform, mobile application, or service that links to these Terms (collectively, the "Site").
Smartreview AI Pvt Ltd (CIN: U62091KA2026PTC223899), a company incorporated under the laws of India with registered office at H.No B-2, 15th Cross, Bommanahalli, Bangalore, Karnataka, India – 560068 (together with its affiliates, "we", "us", "our" and "Smartreview AI™") may update these Terms or any incorporated terms to reflect changes to the law, the Site, or our business. Your continued use of the Site following the publication of any such updates constitutes your binding acceptance of the new Terms. If you do not agree to these Terms or any updated Terms, you must stop using this Site.
The term "you" refers to the business professional, buyer, Customer/Partner, or reviewer visiting this Site and/or contributing content to this Site. If you are accessing or using this Site on behalf of a business, that business accepts these Terms, and the term "you" also refers to that business.
Use of this Site is prohibited in any jurisdiction that does not give effect to all provisions of these Terms.
THESE TERMS INCLUDE A DISPUTE RESOLUTION AND ARBITRATION PROVISION (SECTION 13). PLEASE REVIEW IT CAREFULLY AS IT AFFECTS YOUR RIGHTS REGARDING DISPUTES WITH US AND RELATED PARTIES.
By using this Site, you represent and warrant that:
(a) all information you provide is accurate and complete; (b) if you have a Smartreview AI™ account (a "Registered User"), you will safeguard your account credentials and are responsible for all activity under your account; (c) you are at least 18 years old; (d) you will use this Site solely for business and professional purposes — never for personal, family, or household purposes; (e) you will comply with these Terms, the Privacy Policy, the Acceptable Use Policy, the Refund & Cancellation Policy, and applicable law.
We reserve the right to deny, suspend, or terminate access to anyone for any reason, including violations of these Terms.
Smartreview AI™ is not responsible and assumes no liability for any content posted, stored, or uploaded by you or third parties, nor for any associated loss or damage. We are not liable for any inaccuracies, defamation, slander, libel, omissions, falsehoods, or offensive material you may encounter.
We are not obliged to monitor or edit content, but reserve the right to remove, screen, or edit any content at our discretion and without notice. You are responsible for backing up any content you post. We further reserve the right to suspend or terminate the accounts of Registered Users who persistently or materially violate our community guidelines or these Terms.
We may remove reviews, comments, attestations, or other Submissions that do not meet our quality, authenticity, or community standards — including content that is copied from other sources, irrelevant, defamatory, illegal, indicates non-professional use, was generated by an AI language model (except for language translation), or fails our review-verification or fraud-detection checks. We may also remove content from users lacking sufficient identifying information on their Smartreview AI™ or verified LinkedIn™ profiles.
Smartreview AI™ is a platform that allows you to publish reviews, ratings, attestations, audit responses, and other sentiments about software products and services. By submitting content to this Site ("Submissions"), you grant Smartreview AI™ and its affiliates a non-exclusive, royalty-free, perpetual, transferable, irrevocable, and fully sub-licensable right to:
(a) use your Submissions worldwide; and (b) use your name, email, employer, and other personal information, including your likeness, voice, and image.
You also irrevocably grant users of the Service the right to access and use your content. "Use" means to use, copy, publicly perform and display, reproduce, distribute, modify, translate, remove, analyze, commercialize, and prepare derivative works of your content. For the avoidance of doubt, "Use" explicitly includes the right to use Submissions for training, testing, validating, and fine-tuning AI and machine learning models. Your Submission may be displayed publicly, reformatted, incorporated into advertisements or marketing materials, distributed, and licensed to Customers/Partners and their platforms — including the right to generate, create, derive, infer, and commercialize Derived Data (defined below).
You are prohibited from including confidential or proprietary information of third parties in your Submissions.
Representations. With respect to Submissions:
Derived Data. You acknowledge and agree that, although you retain ownership of your original Submissions, any analyses, transformations, aggregations, compilations, metadata, scores, ratings, rankings, categorizations, certifications, badges, insights, indices, embeddings, algorithms, model outputs, normalizations, or other derivative or processed data created, generated, or inferred by Smartreview AI™ from or in connection with your Submissions or your activity on the Service ("Derived Data") — including, without limitation, Trust-IQ Score™, audit findings, certification outputs, market presence metrics, satisfaction scores, product comparisons, benchmarks, and AI-generated summaries — are the sole and exclusive property of Smartreview AI™. You obtain no rights in or to any Derived Data, and you may not access, copy, extract, reproduce, scrape, store, distribute, or use Derived Data without Smartreview AI™'s express prior written permission.
Moral Rights Waiver. If you retain moral rights (including rights of attribution or integrity) in the Submissions, you agree that: (a) you do not require personally identifying information to be associated with your Submission; (b) you have no objection to the publication, use, modification, deletion, or exploitation of the Submission by Smartreview AI™ or its licensees, successors, and assigns; (c) you waive any moral rights as an author; and (d) you release Smartreview AI™ and its licensees, successors, and assigns from any claims related to these rights.
Site Content Ownership. The content on this Site and the infrastructure used to provide such content are proprietary to Smartreview AI™ unless otherwise stated. You agree not to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any such content obtained from or through this Site.
Smartreview AI™ operates an independent audit and Trust-IQ Score certification platform. If you are a Customer/Partner whose product or service is listed on Smartreview AI™, or if you participate in a Smartreview AI™ audit, certification, or Trust-IQ Score process (a "Customer/Partner"), the following additional terms apply:
Smartreview AI™ offers AI-powered assistants, copilots, audit-assistance tools, summarization, recommendation engines, and other features (collectively, "AI Features") that generate text, summaries, scores, or other outputs ("Output") in response to your prompts, queries, Submissions, or audit responses ("Input").
By using AI Features, you grant Smartreview AI™ a non-exclusive, royalty-free, perpetual, transferable, irrevocable, and fully sub-licensable right to use Inputs in any media, worldwide. Smartreview AI™ may use Inputs to provide, maintain, evaluate, and improve AI Features, comply with applicable law, and enforce its policies. If you do not want Inputs to be used for the foregoing purposes, your sole and exclusive remedy is to not use the AI Features.
Smartreview AI™ may use AI technology developed by third-party model providers. Your use of AI Features may be subject to additional terms or acceptable-use policies of those providers, which Smartreview AI™ will make available where applicable.
Smartreview AI™ disclaims all liability, including for copyright infringement or other intellectual property claims, arising from or related to Outputs generated by third-party AI models; such third-party providers are solely responsible for the technical behavior and legal compliance of their respective models.
You represent and warrant that you will not, and will not allow others to:
(a) mislead anyone into thinking Output is human-generated; (b) include any personally identifiable information, biometric information, or confidential third-party information in Inputs; (c) include content that infringes or violates third-party rights; (d) include or generate content that (i) promotes hate, harassment, or violence; (ii) is illegal, sexual, harmful, false, fraudulent, or misleading; (iii) misuses data; (iv) contains malware or unsolicited bulk content; or (v) exploits or harms children or encourages self-harm; (e) use AI Features for activities that pose high risks of economic or physical harm, or that offer financial, legal, or medical advice; (f) reverse engineer or attempt to discover the source code or underlying components of AI Features, except as permitted by law; (g) use AI Features to develop foundation models or other large-scale models that compete with Smartreview AI™; (h) extract data from AI Features through scraping, harvesting, or similar methods; (i) use AI Features in any jurisdiction prohibited by Smartreview AI™'s model providers; or (j) sell, syndicate, or share Output from AI Features.
THE INFORMATION, ANY CONTENT, SUBMISSIONS, SOFTWARE, PRODUCTS, OR SERVICES ON THIS SITE — INCLUDING TRUST-IQ SCORE, AUDIT FINDINGS, CERTIFICATIONS, RANKINGS, AND AI OUTPUTS — MAY CONTAIN INACCURACIES OR ERRORS. SMARTREVIEW AI™ DOES NOT GUARANTEE THEIR ACCURACY AND DISCLAIMS ALL LIABILITY FOR ANY ERRORS REGARDING TECHNOLOGY PRODUCTS AND RELATED SERVICES (INCLUDING, WITHOUT LIMITATION, PRICING, SCREENSHOTS, VIDEOS, LISTS OF PRODUCT FEATURES, CUSTOMER/PARTNER INFORMATION, GENERAL PRODUCT DESCRIPTIONS, AND CERTIFICATION STATUS). SMARTREVIEW AI™ MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF ANY INFORMATION OR SERVICES ON THIS SITE, AND THEIR INCLUSION DOES NOT IMPLY ENDORSEMENT BY SMARTREVIEW AI™.
ALL SUCH INFORMATION OR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. SMARTREVIEW AI™ DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS SITE, SERVERS, CONTENT, OR EMAILS — INCLUDING THAT THEY ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS — AND INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SMARTREVIEW AI™, INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES, WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR ACCESS TO OR USE OF THIS SITE — INCLUDING ANY DELAY OR INABILITY TO ACCESS THE SITE, RELIANCE UPON OPINIONS OR OUTPUTS APPEARING ON THE SITE, COMPUTER VIRUSES, INFORMATION OR SOFTWARE OBTAINED THROUGH THE SITE, OR DECISIONS MADE IN RELIANCE ON TRUST-IQ SCORE OR CERTIFICATIONS — WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF SMARTREVIEW AI™ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Where Smartreview AI™'s liability cannot lawfully be excluded, its aggregate liability arising out of or in connection with these Terms shall not exceed the greater of (a) the fees paid by you to Smartreview AI™ in the twelve (12) months preceding the event giving rise to the claim, or (b) INR 10,000. The limitations of liability reflect the agreed risk allocation between the parties and survive termination of these Terms.
You agree to defend, indemnify, and hold harmless Smartreview AI™, its affiliates and licensees, and their officers, directors, employees, and agents against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties, liabilities, or expenses (including legal and accounting fees) arising from:
(a) your breach of these Terms or any incorporated terms; (b) your violation of any law or third-party rights; or (c) your use of this Site.
Smartreview AI™ reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense. You agree not to settle any such matter without our prior written consent. We will use reasonable efforts to notify you of any such claim upon becoming aware of it.
This Site may contain links to third-party websites or platforms for your convenience. You are responsible for ensuring that any links or software you use are free from harmful elements. Smartreview AI™ does not control, endorse, sponsor, or accept any responsibility for these third-party websites. Linking your social or professional profile (e.g., LinkedIn) is optional, and you may disable any such link at any time. Direct any concerns about third-party websites to the relevant administrator.
Where Smartreview AI™ provides any content, access, badge, or reward free of charge ("Free Stuff"), the Free Stuff Addendum published on the Site (if any) applies. In any conflict, the Free Stuff Addendum prevails for the specific Free Stuff.
The following users are prohibited from receiving incentives (including gift cards or rewards) in exchange for a Smartreview AI™ review or attestation:
In addition to, and as a supplement to, the prohibitions in our Acceptable Use Policy, you agree that you will not, without Smartreview AI™'s express prior written consent:
(a) access, collect, copy, scrape, harvest, cache, index, store, archive, or otherwise extract any content or data from the Service — including user reviews, reviewer identities or metadata, ratings, badges, comments, product information, Trust-IQ Scores, audit findings, certifications, rankings, categories, analytics, Derived Data, or any portion of the Site's structure or taxonomy — through automated, programmatic, or mechanical means (including robots, spiders, crawlers, scrapers, headless browsers, data-mining tools, or similar technologies), whether or not such content is publicly accessible;
(b) bypass, defeat, avoid, deactivate, impair, or circumvent any access controls, technical protections, rate limits, session restrictions, identity validation processes, bot-detection systems, CAPTCHAs, robots.txt directives, IP blocking, or other measures designed to regulate or protect access to the Service;
(c) use, ingest, incorporate, reproduce, store, analyze, benchmark, or otherwise exploit any content or data obtained from the Service to train, test, validate, fine-tune, evaluate, or improve any machine-learning model, generative AI system, algorithmic product, dataset, synthetic data generator, or similar technology, whether for internal or external use;
(d) reproduce, mirror, scrape-and-recreate, or otherwise replicate the look and feel, functionality, information architecture, category structure, scoring methodology, or user experience of the Service;
(e) sell, publish, syndicate, sub-license, redistribute, or otherwise commercially exploit any scraped or extracted content, data, or derivative works; or
(f) disguise, rotate, or misrepresent your identity, access origin, or technical characteristics (including by using proxies, VPNs, misleading user agents, masked traffic, or multiple or alias accounts).
Access to the Service is contractually conditioned on compliance with these restrictions, which apply regardless of whether any portion of the Service or its content is publicly viewable, and remain enforceable even where content could be accessed without logging in. Any violation of this section constitutes a material breach of these Terms and may result in immediate suspension or termination of access, IP blocking, technical countermeasures, and legal action — including claims for damages, injunctive relief, and recovery of costs and attorneys' fees.
You may not use, export, or re-export any aspect of this Site (or any copy or adaptation) in violation of applicable law, including export controls and sanctions of India, the United States, the European Union, and the United Kingdom. You represent and warrant that you are not located in, ordinarily resident in, or organized under the laws of a country or territory that is subject to a comprehensive embargo and that you are not listed on any applicable sanctions list of prohibited or restricted parties.
This Site and all translations are the property of Smartreview AI™ and are protected by Indian and international copyright law and conventions. Smartreview AI™ grants you a limited, revocable right to access and use this Site subject to these Terms. The look and feel of this Site — including all page headers, custom graphics, button icons, scripts, badges, and the "Smartreview AI™", "Trust-IQ Score", and related marks — are the service marks, trademarks, and/or trade dress of Smartreview AI™ and may not be copied, imitated, or used in whole or in part without our prior written permission.
Other logos and product and company names mentioned on the Site may be the trademarks of their respective owners. Mention of products or services does not imply endorsement by Smartreview AI™. References to third-party Customers/Partners are made for the purposes of comparison, review, identification, and editorial commentary in accordance with applicable trademark fair use principles.
If you believe there is an infringement of your brand or ours, please notify us by contacting us at contact@smartreviewai.io.
13.1 Informal Resolution. Before initiating any formal dispute, you must first provide Smartreview AI™ an opportunity to resolve the matter by contacting us at contact@smartreviewai.io with the subject line "Dispute Notice". The Dispute Notice must contain: (1) your name; (2) address; (3) the email address associated with your account; (4) any relevant transaction or reference numbers; (5) the date; (6) a brief description of the complaint; and (7) the resolution sought. If we do not resolve the complaint within sixty (60) days of receipt of a complete Dispute Notice, either party may proceed to arbitration under Section 13.2.
13.2 Arbitration (India). Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the relationship between you and Smartreview AI™ (a "Claim") — that is not resolved under Section 13.1 — shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement, or, failing such agreement, in accordance with the said Act. The seat and venue of arbitration shall be Bangalore, India. The language of arbitration shall be English. The award shall be final and binding on the parties.
13.3 Governing Law and Jurisdiction. These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to Section 13.2, the courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction over any matter not subject to arbitration.
13.4 Injunctive Relief. Notwithstanding Section 13.2, either party may seek interim or injunctive relief from a court of competent jurisdiction at Bengaluru, Karnataka, India, to protect its intellectual property rights, confidential information, or to prevent unauthorized scraping, data extraction, or other irreparable harm.
13.5 No Class Actions. To the maximum extent permitted by applicable law, you and Smartreview AI™ each agree that any Claim shall be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, representative, or collective proceeding.
13.6 Waiver of Jury Trial. To the extent permitted by applicable law, both parties waive any right to a jury trial.
13.7 Limitation Period. You agree to bring any Claim arising from your access to or use of this Site within two (2) years from the date the Claim arose, or else it will be irrevocably waived, unless a shorter period is required by applicable law.
This Site is operated by Smartreview AI™. No joint venture, agency, partnership, or employment relationship is created by you and Smartreview AI™ through these Terms or your use of this Site.
Our performance under these Terms is subject to applicable laws and legal process. These Terms do not limit our right to comply with law enforcement or governmental requests related to your use of this Site.
A party's failure to act with respect to any right or obligation under these Terms will not be construed as a waiver of that right or obligation. If any part of these Terms is found to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, the parties agree that such provision should be reformed to the minimum extent necessary to make it valid and enforceable while maintaining the original intent of the parties; if reformation is not possible, the invalidity of such provision shall not affect the validity of the remaining provisions, which will remain in full effect.
These Terms constitute the entire agreement between you and Smartreview AI™ regarding this Site, replacing all prior communications and proposals. A printed version of these Terms or any electronic notice will be admissible in legal proceedings on the same basis as other business records.
Fictitious names of companies, products, people, characters, and/or data mentioned on this Site are not intended to represent any real individual, company, product, or event.
Any rights not expressly granted herein are reserved. There are no third-party beneficiaries to these Terms.
The Terms, and any rights or obligations hereunder, are not assignable, transferable, or sub-licensable by you except with Smartreview AI™'s prior written consent, but may be assigned or transferred by us without restriction. Any attempted assignment by you in violation of this clause shall be void.
We may translate these Terms into other languages for convenience. The English version governs, and any inconsistencies will be resolved in favor of the English version published on the Site.
Smartreview AI™ reserves the right to modify or update these Terms at its sole discretion, at any time, for any reason, and without notice or liability. Continued use of the Site after publication of updated Terms constitutes acceptance of the changes.
15.1 Right to Publish Listings. Smartreview AI may, at its sole discretion, create, publish, maintain, update, and display profiles, listings, and directory entries for software products and the organizations that provide them ("Listings"), including for organizations that have no commercial or contractual relationship with Smartreview AI ("Unclaimed Listings"). Listings are compiled from publicly available sources, including but not limited to the organization's own website, public filings, press releases, product documentation, and other lawfully accessible public information, together with User Content submitted to the Platform.
15.2 Informational Purpose; No Affiliation. Listings are published for informational, comparative, and review purposes in the public interest of software buyers. The existence of a Listing does not imply, and shall not be construed as, any affiliation, sponsorship, partnership, endorsement, or contractual relationship between Smartreview AI and the listed organization, nor any endorsement of Smartreview AI by that organization.
15.3 Nominative Use of Names and Marks. Product names, company names, trademarks, service marks, and logos appearing in Listings are used solely to identify and refer to the relevant products and organizations (nominative fair use). All such marks remain the property of their respective owners. No license, assignment, or transfer of rights is implied by their appearance on the Platform. Rights holders may submit requests regarding the use of their marks or logos to legal@smartreviewai.io.
15.4 User Content on Listings; Intermediary Status. Reviews, ratings, and other User Content displayed on a Listing are authored by third-party users and do not represent the views of Smartreview AI. Smartreview AI acts as an intermediary/hosting provider with respect to User Content and, to the maximum extent permitted by applicable law (including Section 79 of the Information Technology Act, 2000 (India), and analogous safe-harbour provisions in other jurisdictions), is not liable for User Content. Smartreview AI does not pre-screen User Content but applies authentication and integrity controls as described on the Platform.
15.5 Claiming a Listing. An authorized representative of a listed organization may claim its Listing by completing Smartreview AI's verification process. Claiming a Listing: (a) permits the organization to supplement and correct factual profile information; and (b) subjects the organization to these Terms as a Customer/Partner. Claiming a Listing does not confer any right to (i) remove, suppress, edit, or reorder lawful reviews or ratings; (ii) alter, influence, or remove any score, certification, or assessment generated by the Platform; or (iii) require removal of the Listing itself.
15.6 Corrections and Disputes. Any organization (claimed or unclaimed) may notify Smartreview AI of factual inaccuracies in its Listing via support@smartreviewai.io. Smartreview AI will review such notices in good faith and correct demonstrable factual errors within a reasonable period. Smartreview AI has no obligation to remove or modify content that is accurate, lawful, or constitutes protected opinion, and retains sole editorial discretion over the presentation of Listings.
15.7 No Removal for Commercial Reasons. Smartreview AI does not remove, suppress, or modify Listings, reviews, scores, or assessments in exchange for payment, subscription, threats of legal action unaccompanied by a valid legal basis, or the presence or absence of any commercial relationship. Declining to become a Customer/Partner, or terminating a commercial relationship, does not entitle an organization to removal of its Listing or associated User Content.
15.8 Accuracy Disclaimer. Listings and any scores or assessments are provided on an "as is" and "as available" basis, derived from information available at the time of compilation. Smartreview AI does not warrant that any Listing is complete, current, or error-free, and disclaims liability for decisions made in reliance on Listings to the maximum extent permitted by law.
15.9 Notice-and-Takedown. Complaints alleging that a Listing or User Content infringes intellectual property rights, is defamatory, or is otherwise unlawful must be submitted to support@smartreviewai.io, with sufficient detail to identify the content and the legal basis of the complaint. Smartreview AI will process such complaints in accordance with applicable law and regulation.
